Terms of Service

YOUR USE OF AND ACCESS TO OUR SERVICES (DEFINED BELOW) ARE SUBJECT TO THE FOLLOWING TERMS; IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS THE SERVICES IN ANY MANNER.

These Terms of Service (“Terms”) govern your access to and use of Meet Headline’s websites, apps and services (collectively the “Service”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms and our Acceptable Use Policy.

By using the Service, you agree to be bound by these Terms and our Acceptable Use Policy.

These Terms apply to all users and others who access or use the Service, whether or not you are registered as a user.

If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and that you have the authority to bind that organization to these Terms. In that case, “you” and “your” will refer to that organization.

Meet Headlines reserves the right to update and change these Terms at any time and without notice by posting the amended Agreement on this page. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. You are advised to check the Terms from time to time for any updates or changes that may impact you.

#Use of our service

By providing Meet Headline your email address you consent to our using the email address to send you Service-related notices, including any notices required by law, in lieu of communication by postal mail. We may also use your email address to send you other messages, including changes to features of the Service and special offers.

The Service is not intended to be used by children. You must be at least 16 years of age to use the Service.

When creating your account, you must provide accurate and complete information. If you provide any information that is untrue, inaccurate, not current or incomplete, or Meet Headline has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Meet Headline has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).

You will not share your account or password with anyone. We reserve the right to cancel or suspend your access to the Service if we see any suspicious activity in your account that reasonably points out you willingly and/ or knowingly shared your credentials with another user. You are responsible for maintaining the security of your account and password. Meet Headline cannot and will not be liable for any loss or damage from your failure to comply with this obligation.

Meet Headline may refuse to permit your access to the Service without notice and liability, if, in our sole determination, you violate any of the Terms or our Acceptable Use Policy. Upon termination for any reason, you continue to be bound by these Terms.

#Content

Some areas of the Service may allow users to post or upload photos, documents, videos, web links, feedback, comments, and other information (“Content” or, when posted by you, “your Content”) and to share Content with others. You retain full ownership of your Content. We don’t claim any ownership of any of it.

You are solely responsible for the Content that you upload, publish, display, link to or otherwise make available on the Service.

We reserve the right but are not obligated, to reject and/or remove any Content that we believe, in our sole discretion, violates our Acceptable Use Policy. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Agreement, including investigation of potential violations, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of Meet Headline, its users and the public.

Meet Headline takes no responsibility and assumes no liability for any Content that you or any other users post or send over to the Service. You understand and agree that any loss or damage of any kind that occurs as a result of the use of any Content that you send, upload, download, stream, post, transmit, display, or otherwise make available or access through your use of the Service, is solely your responsibility.

You understand and acknowledge that you may be exposed to Content that is inaccurate, offensive, indecent, or objectionable, and you agree that Meet Headline shall not be liable for any damages you allege to incur as a result of such Content.

#Property, copyrights and feedback

Except for your Content, the Service and its materials, including, without limitation, software, mobile device software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, and photographs (the “Meet Headline Content”), and all Intellectual Property Rights related thereto, are the exclusive property of Meet Headline and its licensors. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, decompile, disassemble, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any materials or content accessible on the Service. Use of the Meet Headline Content or materials on the Service for any purpose not expressly permitted by these Terms is strictly prohibited.

You grant us a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use or incorporate into our Services any suggestions, enhancement requests, recommendations or other feedback provided by you relating to the operation of our Services.

#Privacy

Please review our Privacy Policy to learn more about how we collect and use information about you via the Services.

We may amend the Privacy Policy at any time in our sole discretion, effective upon posting the amended Privacy Policy at https://meedheadline.com/privacy where the prior version of the Privacy Policy was posted, or by communicating these changes through any written or another contact method we have established with you. Your use of the Services following the date on which such amended Privacy Policy is published will constitute consent to such amendments to the extent they do not have retroactive applicability.

By using the Service, you are consenting to have your personal data transferred to and processed in the United States.

#Acceptable Use Policy

Use of the Service is bound by these Terms as well as any limits, restrictions, and quotas imposed by the usage plan (the “Plan”) that is currently in effect on your account.

Unless otherwise permitted by the Plan, you agree to not create more than five advertising campaigns in any calendar month, to not have more than five active advertising campaigns at any given time, and to not exceed a total of $1,000 daily spend across all active campaign.

You represent, warrant, and agree that you will not use the Service to produce, modify, or promote Content that falls in any of these categories:

The above provision relates to any Content you upload to the Service, generate through the use of the Service, and that is found on any website or physical location which are identified by or promoted through the use of the Service.

#Refund Policy

The Service provided here uses third-party service providers, for which Meet Headline incurs usage charges. As such, Meet Headline is not able to and will not provide a refund for any usage charge incurred from you using the Service.

If you have downgraded or canceled your subscription, the remaining charges are pro-rated and may result in a credit balance to your account. At your request, Meet Headline will issue you a refund in an amount not greater than such calculated remaining credit balance on your account.

For illustrative purposes, if you launch a campaign with a daily budget of $50, Meet Headline will charge you $750 for the full month (30 days). If you suspend the campaign on day 10, your account will have a credit balance of $500.

Meet Headline reserves the right to deny a refund if, by its own determination, it has determined that the account was willfully used in violation of the Terms and/or Acceptable Use Policy.

#No warranty

MEET HEADLINE PROVIDES THE SERVICE “AS IS”, “WITH ALL FAULTS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEET HEADLINE MAKES NO (AND SPECIFICALLY DISCLAIMS ALL) REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, THAT THE CONTENT WILL BE SECURE OR NOT OTHERWISE LOST OR DAMAGED, OR ANY IMPLIED WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF ANY COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE. SOME JURISDICTIONS DO NOT ALLOW THE FOREGOING EXCLUSIONS. IN SUCH AN EVENT SUCH EXCLUSION WILL NOT APPLY SOLELY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

#Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MEET HEADLINE, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR (A): ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COVER OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, REVENUE, GOODWILL, USE OR CONTENT) HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, WARRANTY, NEGLIGENCE OR OTHERWISE, EVEN IF MEET HEADLINE HAS BEEN ADVISED AS TO THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF MEET HEADLINE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS, RELATING TO THE SERVICES WILL BE LIMITED TO THE GREATER OF AN AMOUNT EQUAL ONE MONTH OF YOUR SERVICE FEE FOR THE SERVICE OR TEN DOLLARS ($10.00). THE LIMITATIONS AND EXCLUSIONS ALSO APPLY IF THIS REMEDY DOES NOT FULLY COMPENSATE YOU FOR ANY LOSSES OR FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES. IN SUCH AN EVENT THIS LIMITATION WILL NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

#Indemnification

To the fullest extent allowed by applicable law, You agree to indemnify and hold Meet Headline, its affiliates, officers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third party claims relating to (a) your use of the Services (including any actions taken by a third party using your account), and (b) your violation of these Terms. In the event of such a claim, suit, or action (“Claim”), we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

#Miscellaneous

We may modify these terms or any additional terms that apply to the Service, for example, reflect changes to the law or changes to our Service. You should look at the online version of our terms regularly. We’ll post notice of modifications to these terms on this page. Changes addressing new functions for the Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified Terms of the Service, you should discontinue the use of our Service.

These terms control the relationship between Meet Headline and you. They do not create any third-party beneficiary rights.

If any of these terms are rendered invalid, unenforceable or void, the other terms will remain valid, enforceable and not be affected.

You and Meet Headline explicitly agree that these Terms shall be governed by the laws of the state of California and the federal laws of the United States applicable therein. You agree that any claim or dispute that arises in whole or in part from the Service shall be heard and resolved exclusively in a court of competent subject matter jurisdiction located in Alameda County, California. You consent to the personal jurisdiction of such courts over you, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any objection to proceeding in such courts.

These Terms, together with any other legal notices and agreements published by Meet Headline via the Service, shall constitute the entire agreement between you and Meet Headline concerning the Service. If any provisions of these Terms are deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

No waiver of any of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Meet Headline’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
